GlassWing Intelligence Terms of Use

TERMS OF USE AND END USER LICENSE AGREEMENT

GlassWing Intelligence is the business intelligence application administered by GlassWing Executive Partners, LLC.

Effective date: October 27, 2026.

These Terms govern access to GlassWing Intelligence, the business intelligence application administered by GlassWing Executive Partners, LLC (“GlassWing”). The QuickBooks Online production connection remains disabled pending verification of production controls and client authorization. Access is also subject to the written Executive Partnership or other services agreement between GlassWing and the applicable client.

1. Agreement and relationship to client agreements

These Terms govern access to and use of GlassWing Intelligence, including its web application, dashboards, reports, and integration features (the “Application”). The service provider is GlassWing Executive Partners, LLC (“GlassWing,” “we,” or “us”). GlassWing Intelligence is the name of the Application and is not a separate contracting entity.

The client’s signed working agreement, Executive Partnership agreement, statement of work, or other written services agreement with GlassWing (the “Client Agreement”) governs the professional services, fees, scope, confidentiality commitments, data-handling instructions, and other client-specific terms. These Terms supplement the Client Agreement for Application access. If a provision conflicts, the Client Agreement controls for that client relationship. These Terms do not amend any Client Agreement unless both parties separately agree in writing.

These Terms govern each authorized user’s access to and use of the Application. The current Application login does not present a separate Terms acceptance step and does not record affirmative acceptance. GlassWing does not represent that a user has clicked to accept these Terms. The client must ensure that authorized users are informed of these Terms and are authorized to use the Application in accordance with them.

2. Application rights and limited access license

GlassWing or its applicable licensors retain the rights they hold in the Application, its software, design, interfaces, documentation, and associated names and marks. These Terms do not decide or change the ownership of GlassWing intellectual property among GlassWing-related entities or under separate assignment or licensing documents.

During the term of the applicable Client Agreement, GlassWing grants the client a limited, non-exclusive, non-transferable, revocable right to permit its authorized users to access the Application for the client’s internal business reporting and executive decision-making. No other right is granted. The client retains its rights in the financial, operational, customer, and other information it or its authorized integrations provide (“Client Data”).

3. Authorized users and client administration

The client may authorize personnel and advisers who need access for the client’s business purposes. The client is responsible for selecting an administrator, approving users and their access, removing users who no longer need access, safeguarding its accounts, and promptly notifying GlassWing of suspected unauthorized use. Users must use their own accounts and must not share credentials.

The client represents that its administrators and users have authority to access the Client Data made available to them and to accept these Terms on the client’s behalf where applicable. The client is responsible for the accuracy of information it provides and for having authority to share it. GlassWing may rely on instructions from the client’s designated administrator unless the Client Agreement states otherwise.

4. Third-party integrations and authorization

The Application may connect to QuickBooks Online, HubSpot, and WooCommerce. QuickBooks Online uses Intuit Accounting OAuth authorization initiated by an authorized client representative; that permission is not inherently read-only. HubSpot and WooCommerce connections use API credentials configured for the applicable integration rather than end-user OAuth consent. The client must authorize GlassWing to configure and use those connections and must have the rights needed to make the relevant information available. The client is responsible for reviewing the access requested and any permissions or scopes that apply.

The QuickBooks Online Accounting OAuth permission is not itself a read-only permission. The GlassWing QuickBooks connector is intended to retrieve and report data for agreed dashboards; GlassWing will not use that connection to create, edit, or delete QuickBooks accounting records or to initiate payments or transfers. The connector must remain disabled until production credentials, callback behavior, access controls, token handling, live disconnection behavior, and the client’s authorization have been verified.

A client may revoke QuickBooks authorization through Intuit’s account authorization controls or contact GlassWing for assistance. The Application’s QuickBooks disconnection flow has not been verified in live operation. GlassWing does not represent that app-side disconnection has been production-validated. Until live behavior is verified, the client should revoke authorization directly through Intuit and contact GlassWing to confirm that further retrieval has stopped. Disconnection does not, by itself, erase Client Data already included in reports or retained under the Client Agreement or applicable retention requirements.

5. Permitted and prohibited use

The client may use the Application to view, organize, analyze, and share Client Data with its authorized users for internal management, reporting, and executive decision-making, subject to its Client Agreement and third-party provider terms.

The client and its users must not:

  • access another client’s data or attempt to bypass permissions;

  • use the Application unlawfully or without authorization;

  • upload information they lack rights to provide;

  • probe, disrupt, overload, reverse engineer, or interfere with the Application or its security;

  • introduce malicious code;

  • copy, resell, sublicense, or make the Application available to an unauthorized third party; or

  • use a connected system or Client Data in a way prohibited by that system’s terms or applicable law.

6. Client Data and confidentiality

As between GlassWing and the client, the client retains its rights in Client Data. The client authorizes GlassWing to access, process, display, and transmit Client Data as reasonably necessary to provide the Application and the related services under the Client Agreement, maintain the Application, respond to support requests, protect the service, and comply with law.

GlassWing will protect non-public Client Data and use it only to provide the Application and related engagement services. Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law. GlassWing may use hosting, authentication, database, and integration providers to operate the Application, subject to the safeguards and agreements applicable to those providers. The Privacy Policy describes the categories of information and intended processing in more detail.

7. Reports and financial information

The Application presents information retrieved from client-selected systems and may summarize, calculate, or visualize that information. Source systems may be incomplete, delayed, misclassified, unavailable, or changed without notice. A displayed result may depend on the client’s configuration, accounting methods, selected reporting periods, currency, source permissions, data freshness, and mappings.

Reports are management information, not audited financial statements, accounting, tax, legal, valuation, investment, or other professional advice. They do not replace the client’s books, records, reconciliations, or professional advisers. The client must review source information and calculations before relying on them for financial, legal, tax, investment, lending, or other external decisions. A missing or disconnected source must not be interpreted as zero or as a verified result.

8. Third-party services

QuickBooks Online is provided by Intuit; HubSpot and WooCommerce are separate third-party services. Those services are governed by their own terms, privacy notices, availability, permissions, and technical limits. GlassWing does not control their operation or changes. The Application may stop receiving data if a provider changes an API, revokes access, limits a connection, or becomes unavailable.

9. Security and service availability

GlassWing will use the administrative and technical safeguards applicable to the Application and the Client Agreement. The Application is being prepared in a Preview environment, and its QuickBooks production connection is not enabled. No specific uptime, uninterrupted access, error-free operation, security certification, or data-residency location is promised by these Terms.

The Application may be unavailable for maintenance, provider outages, security events, or circumstances outside GlassWing’s reasonable control. GlassWing may suspend access when reasonably necessary to protect users, Client Data, the Application, or a third-party system, or to comply with law or the Client Agreement.

10. Disconnection, suspension, and end of access

Access ends when the Client Agreement ends, when the client’s authorization is withdrawn, or when GlassWing suspends or terminates access under the Client Agreement or these Terms. After the client revokes QuickBooks authorization through Intuit, the Application should no longer be able to request information under that authorization once revocation takes effect. The Application’s QuickBooks disconnection flow has not been verified in live operation, so the client should contact GlassWing to confirm that further retrieval has stopped. For HubSpot and WooCommerce, revoking, rotating, or disabling API credentials stops access only after the provider no longer accepts those credentials and the Application stops using them. Previously received information may remain in reports, exports, service records, or backups, or where required by the Client Agreement or law.

The client may request the return or deletion of Client Data through its designated GlassWing contact. Requests are handled subject to the Client Agreement, legal obligations, security records, and technical backup cycles. The specific retention schedule and deletion timing must be confirmed before the QuickBooks connection is activated.

11. Warranty disclaimer and limitation of liability

To the extent permitted by law, the Application is provided “as available.” GlassWing does not warrant that the Application will be uninterrupted, error-free, or that third-party data will be complete or current. Any express service commitments in a Client Agreement remain in effect according to that agreement.

Application features and third-party connections may be unavailable for maintenance, provider outages, security events, or circumstances outside GlassWing’s reasonable control. Any service levels, warranties, disclaimers, limits of liability, indemnities, or remedies for a client relationship are governed by the applicable Client Agreement and applicable law. These Terms do not create a separate liability cap or change the liability allocation in a Client Agreement.

12. Governing law and changes

These Terms are governed by North Carolina law, without regard to its conflict-of-law rules, except where the applicable Client Agreement specifies otherwise, in which case that agreement controls. The dispute-resolution terms in the Client Agreement also continue to apply to that client relationship.

GlassWing may update these Terms to reflect changes to the Application, services, or law. A material change will be identified by a revised “Last updated” date and, where appropriate, notice through the Application or to the client’s administrator. Continued use after the effective date of an update constitutes acceptance where permitted by law. If a user does not agree, the user must stop using the Application and the client may disconnect the relevant integration.
